Terms and Conditions of Sale — B2B
Version 1.0 — applicable as of 11 June 2026. Sales reserved for business (B2B) clients. Every order is subject to a signed personalized quote.
Article 1 — Seller, purpose and scope
The seller is KOLOSALTech, a French simplified joint-stock company with a sole shareholder (SASU) with a share capital of 500 €, registered with the Trade and Companies Register of Rennes under number 106 103 047 (RCS Rennes 106 103 047), with its registered office at 3 Rue de Robien, 35000 Rennes, France — intra-community VAT FR64106103047.
These Terms and Conditions of Sale (the "Terms") govern the commercial relationship between KOLOSALTech and any business client (SME, public administrations, NGOs, partners) acting for the purposes of its business activity, having ordered IT hardware, integration services, cybersecurity services or digital export services. The offers are not intended for consumers.
The Terms apply in addition to the signed quote. In the event of a conflict, the quote prevails over the Terms.
Article 2 — Quote and order
Each quote is drawn up on the basis of the information provided by the client. Its validity is 30 days unless otherwise stated. The signature of the quote (or a signed scanned return) constitutes firm and final acceptance.
An order becomes firm only after receipt of the deposit (if applicable) and written confirmation by KOLOSALTech.
Article 3 — Pricing and payment
Prices are expressed in euros excl. VAT. French VAT (20%) is applicable according to the tax rules in force. For exports outside the EU (West Africa in particular), VAT exemption applies subject to the production of customs documents.
Payment terms:
- SEPA or SWIFT transfer (EUR only)
- Credit card via Stripe (deposits or full settlement)
- Standard term: 30 days end of month
- Deposit of 30 to 50% required on orders > €5,000 excl. VAT
- For exports: 50% deposit on order, balance before unloading
In the event of late payment, penalties are calculated at the ECB rate plus 10 points (article L441-10 of the French Commercial Code), with a fixed recovery indemnity of €40.
Article 4 — Delivery and transport
France and EU: delivery within 5–25 days depending on supplier availability. Shipping costs invoiced at cost.
West Africa export: 3–6 weeks depending on the mode of transport (air or sea). Incoterm specified in the quote (EXW, FOB, CIF, DAP, DDP).
The transfer of risk takes place according to the Incoterm selected. The client must check the condition of the goods on receipt and report any anomaly within 48h.
Article 5 — Hardware warranty
The delivered hardware benefits from the original manufacturer warranty (1 to 5 years depending on the reference). KOLOSALTech facilitates contact with the manufacturer after-sales service in the event of a failure.
For exports, after-sales management is carried out according to the presence or absence of a regional manufacturer center. Terms specified case by case in the quote.
Article 6 — Services
Integration, cybersecurity, consulting and support services are defined in the quote with: scope, deliverables, duration, acceptance conditions.
Best-efforts obligation, unless otherwise stated in writing.
Article 7 — Intellectual property
Ownership of the hardware is transferred to the client upon receipt of full payment.
For custom services (scripts, configurations, documentation), the client has an unlimited internal-use license. KOLOSALTech retains ownership of its know-how and remains free to reuse generic components.
Article 8 — Confidentiality
The parties undertake to respect the confidentiality of the information exchanged within the framework of the project (technical and commercial data, identities).
For sensitive engagements (cybersecurity, personal data), a specific NDA may be signed.
Article 9 — Force majeure
Neither party may be held liable for a delay or non-performance resulting from an event of force majeure (natural disaster, pandemic, armed conflict, road or port blockage, political instability, etc.).
Article 10 — Governing law and jurisdiction
These Terms are governed by French law.
Any dispute will be subject to a prior attempt at amicable conciliation. Failing agreement, the Tribunal de Commerce de Rennes shall have sole jurisdiction.
Article 11 — Personal data
The data collected within the framework of the commercial relationship is processed in accordance with our privacy policy and the GDPR.
